Good Faith After Disney

This issue examines the future of the meaning and impact of the duty of good faith after the Delaware Supreme Court redefined its contours in the Walt Disney litigation and subsequent cases Stone v. Ritter and Lyondell Chemical Co. v. Ryan. The issue features scholarship from the participants of a symposium held at New York Law School in November 2009 where leading corporate scholars addressed the definition of due care, fiduciary duty, and the concept of good faith after Disney.
